I. General

The following terms and conditions govern all use of the Goodworld.me Website (the “Website”) as well as all content, services, and products available at or through the Website, including the functionality that permits a Donor to make donations, an Organization to accept donations, or any user to use any other functionality offered through the Website (our “Services”). The Website is owned and operated by Goodworld, Inc. (“Goodworld”, “We” or “we”). The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, the Goodworld Privacy Policy at https://goodworld.me/privacy), and procedures that may be published from time to time on the Website (collectively, the “Agreement”).

Please read the Agreement carefully before accessing or using the Website. By accessing or using any part of the Website, you agree to be bound by the terms of the Agreement. If you do not agree to all the terms of the Agreement, then you may not access the Website or use any of its functionality. The terms contained in the Agreement comprise an offer by Goodworld and acceptance, which occurs through use of the Website or its functionality, is expressly limited to these terms.

Please note that use of our Services is limited to individuals who are at least eighteen years of age.

a. Description of Services – What We Do

Goodworld is an application, accessible through Goodworld.me, that enables individuals who wish to make donations (“Donors”) to registered 501(c)(3) and 501(c)(4) organizations (“Organizations”) to complete transactions by using third-party social networking sites, such as Facebook (Facebook.com) or Twitter (twitter.com), to facilitate and direct the transfer of funds from Donor to Organization.

b. What We Don’t Do

The Website acts as a venue to facilitate transactions between the Donors and Organizations. We are not a 501(c)(3) registered charity, a donor-advised fund, or a financial institution. Goodworld does not execute the actual transaction between a Donor and an Organization. We are not the agent of any third party for any purpose. We do not endorse or represent any of the Organizations using our service. We offer no advice as to tax issues of any sort. Goodworld has no control over or responsibility for the accuracy, quality, or legality of claims made by Organizations. In the event that a Donor has a complaint about an Organization using the Goodworld Service, we ask you to write us at support@Goodworld.me.

II. Terms for Donors

a. Your Goodworld.me Account and Profile

You may use the Website without registering with Goodworld, but as a condition of using certain content, services, and products, you must register and create an account. You must access the registration page through your Facebook,Twitter or other platform log-in. By registering, you authorize us to access and use certain Facebook and Twitter log-information, including but not limited to your Facebook profile information. When you register, you must provide accurate, complete, and up-to-date information. If you don’t provide such information, we have the right to terminate your account.

When registering with Goodworld, you must set up a User ID. This User ID may be the email address you use with your Facebook or Twitter account, but you may also use any other proper User ID. You may not use as a User ID a name or term that (i) is the name of another person, with the intent to impersonate that person; (ii) is subject to any rights of another person, without appropriate authorization; or (iii) is offensive, vulgar, or obscene. Goodworld reserves the right in its sole discretion to refuse registration of or cancel an account or User ID. Additionally, you must not use your account or User ID in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others. Goodworld may change or remove any information that it considers inappropriate or unlawful or unacceptable.

If you register and create an account with Goodworld, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that are taken in connection with your account. If someone else uses your account with your permission, actual, implied or apparent, then you are responsible for that use. You are also responsible for immediately notifying Goodworld about any unauthorized uses of your account or any other breaches of security. Goodworld will not be liable for any acts or omissions on your part, including any damages of any kind incurred as a result of such acts or omissions.

Goodworld cannot and will not be liable for any loss or damage arising from your failure to comply with any of the above.

b. Account Security

You are responsible for maintaining the confidentiality of the username and password you designate during the registration process, and you are solely responsible for all activities that occur under your username and password. You agree to immediately notify the Company of any disclosure or unauthorized use of your username or password or any other breach of security at support@Goodworld.me.

c. Making Your Donation Recurring

Donors may designate any pending or completed donation to a charity as a “Recurring Monthly Donation” simply by selecting the “Monthly Donation” box next to the donation amount on their Donor Dashboard. When a donor selects the “Monthly Donation” option, the donor credit card will be charged the recurring amount on either the day of the original donation or the last day of each month, whichever is earlier. The donor may discontinue or edit the amount of the “Monthly Donation” designation at any time through the Donor Dashboard.

d. Your Instructions to Goodworld

How to Name the Organization that Receives the Donation

A Donor may instruct Goodworld and Goodworld will facilitate a donation between a registered Donor and a registered Organization as follows:

  1. on Facebook: A Donor comments or otherwise posts “#donate” anywhere on the registered Organization’s Facebook;

  2. on Twitter: A Donor tweets or re-tweets “#donate” and mentions Organization's Twitter handle (eg: “#donate $10 @organizationtwitterhandle”).

How to Specify the Amount of Your Donation

A Donor must instruct Goodworld to donate a specific amount as follows:

  1. On Facebook: Write the amount directly following “#donate $” in a Donor's comment, post (eg, “#donate $25” or “#donate$25” will instruct that $25 be donated);

  2. On Twitter: Write the amount directly following “#donate $” in a tweet or re-tweet, (eg, “#donate $25 will instruct that $25 be donated); OR

  3. If no dollar sign ($) appears in the Facebook comment or post or in the tweet or re-tweet, then that amount set at registration as the Donor's "Default" donation will be the amount of the donation that is processed.

Putting It All Together: Two examples

To make a donation on Facebook, you may comment “#donate $25” on the Facebook page of an Organization.

To make a donation via Twitter, you may tweet “#donate $25 @organizationtwitterhandle”.

Once a valid instruction is entered via Facebook or Twitter, Goodworld will act on that instruction to enable the transfer of funds by the method designated by Donor in her profile; will notify Donor of the status of that process; and will notify Organization of the donation. Donor’s credit card will be charged for the amount of the donation. In the event that Goodworld (or its vendors) are not able to complete the donation, Goodworld will notify Donor by email of that fact and Donor’s credit card will not be charged. All donations are subject to the fees set forth in Section III(c).

d. Donor Information

Goodworld will not share or sell names of Donors to third parties (other than the relevant Organization) without your consent. When you make a donation using Goodworld.me, you grant Goodworld permission to access your donation records at any time and to use the information you provide to process your donation.

Goodworld will make available to your Organization to which you donate online reports identifying, where available, that information that you have authorized Facebook and Twitter to make available to others.

e. Can I Cancel My Gift to an Organization?

Donor may cancel their donation within twelve (12) hours of the time of first entering the instruction by logging into her account on the Goodworld.me website and hitting the cancel button.

f. What if I Try to Donate to a Charity Not Yet Registered on Goodworld?

In the event that a Donor attempts to make a donation through the Goodworld application to an Organization that is NOT registered with Goodworld, then an attempted donation to a non-registered Organization will not be processed and the Donor’s credit card will not be charged. If there is an Organization that you would like to be able to donate to using Goodworld, please let us know that at support@Goodworld.me and we will invite that Organization to register.

g. Acknowledgement of Your Donations and Donation Summaries

We will provide to Donor an email acknowledging your donation. We will later send you an email that summarizes the donations you’ve made through Goodworld. The statement can help you keep track of your donations and may be helpful for your tax preparations. The Organization to which you donate may also provide you with a tax receipt, if it has your name and contact information, and that may also be useful for your tax records. Goodworld will be responsible for providing you with a summary of your donations from time to time, which can be accessed by logging into your Goodworld account at www.Goodworld.me. Goodworld is not responsible for providing the acknowledgment or receipt from the Organization, as that is beyond our control. We are not responsible for the sufficiency of any such acknowledgment or receipt that is provided to Donor, and different Organizations may have their own particular requirements for providing such a receipt. Please understand that we cannot give you tax advice on the deductibility of any donation, or any other aspect of your taxes.

h. Fees

From each donation Goodworld will normally deduct and collect (i) a “GW Fee” in the amount of 4.8% from the amount stated by Donor, and (ii) a “Transaction Fee” charged to Goodworld by the Payment Processor (typically 2.2% of the donation amount plus $0.30 per transaction). By default, these fees are paid by the Organization and Goodworld remits the balance to Organization. (Eg: If Donor comments “#donate $20” on the XYZ Organization Facebook page, then Goodworld will deduct $1.70 to cover the GW Fee, the Transaction Fee plus .30 and will then remit $18.30 ($20 minus $1.70) to XYZ Organization.)

In the event that Goodworld provides the option for the Donor to pay the GW fee and the Donor elects to do this (by selecting that option on the initial donor form), then the Donor’s donation will be grossed up in an amount equal to the absolute amount of the GW Fee based on the Donor’s donation (eg, 4.8% of the face amount of the Donation), that gross-up amount will be deducted from the total amount of the donation, and the balance will be remitted to the Organization, less the Transaction Fee out of the original donation amount. (Eg: If a Donor electing this option comments "#donate $20" on the XYZ Organization Facebook page, then the Donor will be charged $20.96 ($20 plus 4.8% of $20), Goodworld will receive the GW Fee of .96 cents, and will remit $19.26 ($20 minus (2.22% x $20) minus .30 = 19.26) to XYZ Organization.

The GW Fee is to cover costs of maintaining the GW platform and for the benefit created by the publicity effect of Goodworld enabling Donor to donate directly on social media and share the information about the donation on social networks.

If a Donor chooses to donate in a currency different than that of the receiving Organization, a conversion fee may be applied by the payment processor (typically 2%).

III. Terms for Organizations

a. How Does an Organization Register for the Goodworld Service?

In order to receive donations, an Organization must visit Goodworld.me and register. To do this, an Organization must provide its proper corporate name, EIN number, general contact details and bank information so Goodworld can direct donations into the Organization’s account. An Organization must also identify an organizational representative that can be verified by Goodworld. The Organization may then register its Facebook and/or Twitter accounts by hitting the “Connect with Facebook” or “Connect with Twitter” buttons. Doing this directs the Organization through a registration process that loads the Goodworld Facebook or Twitter application on the Organization’s social media feeds. Once the application is loaded on Facebook and/or Twitter, an Organization is able to start receiving donations through the Goodworld Service.

By registering, an Organization certifies that it is has a valid and current 501(c)(3) or 501(c)(4) status.

b. What if a Donor Tries to Donate to a Charity Not Yet Registered on Goodworld?

In the event that a Donor attempts to make a donation through the Goodworld application to an Organization that is NOT registered with Goodworld, then an attempted donation to a non-registered Organization will not be processed and the Donor’s credit card will not be charged. If there is an Organization that you would like to be able to donate to using Goodworld, please let us know that at support@Goodworld.me and we will invite that Organization to register.

c. Fees

From each donation Goodworld normally deducts and collects (i) a “GW Fee” in the amount of 4.8% from the amount stated by Donor, and (ii) a “Transaction Fee” in the amount that is charged to Goodworld by the Payment Processor (typically 2.2% of the donation amount plus $0.30 per transaction). The Transaction Fee collected may vary according to what rate is charged by the Payment Processor at the time of the transaction and the type of credit card that is used by Donor. By default, these fees are paid by the Organization and Goodworld remits the balance to Organization. (Eg: If Donor comments “#donate $20” on the XYZ Organization Facebook page, then Goodworld will remit $20- ((4.8+2.2%)20) -.30, or $18.30 to XYZ Organization.) Both Donor and Organization agree to the payment of these fees to Goodworld and the Payment Processor. The fees are in compensation for costs and for the benefit created by the publicity effect of Goodworld enabling Donor to donate directly on social media and share the information about the donation on social networks. For additional information on fees charged in the event Goodworld offers the option described in Section II(h), please see that section.

IV. Additional Terms for Donors and Organizations

a. Content Posted on Other Websites

Goodworld has not reviewed, and cannot review, all of the material made available through webpages to which Goodworld.me links, and that link to Goodworld.me. Goodworld does not, and cannot, have any control over websites and webpages except for Goodworld.me, and as such is not responsible for their contents or their use.

By linking to a non-Goodworld website or webpage, Goodworld does not represent or imply that it endorses such websites or webpages or the person or organization that controls that website or webpage. When accessing such websites or webpages, you are responsible for taking precautions necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Goodworld disclaims any responsibility for harm resulting from your use of non-Goodworld websites and webpages. Nothing in these Terms of Service modifies the Terms of Service of Facebook, Twitter, or any other platform.

b. Copyright Infringement and DMCA Policy

As Goodworld asks others to respect its intellectual property rights, it respects the intellectual property rights of others.

If you believe that material located on or linked to by Goodworld.me violates your intellectual property rights, you (or your agent) may send Goodworld a notice, under the Digital Millennium Copyright Act (DMCA), requesting that we remove the material or block access to it.

If you believe, in good faith, that someone has wrongly filed a notice of copyright infringement against you, the DMCA permits you to send Goodworld a counter-notice. Notices and counter-notices must comply with the statutory requirements imposed by Section 512(c) of the DMCA and all other applicable laws.

We reserve the right to remove Content alleged to be infringing without prior notice, at our sole discretion, and without liability to you. Goodworld is not required to provide a reason for removal of Content. In appropriate circumstances, Goodworld may also terminate an individual or entities account if the individual or entity is determined to be a repeat infringer. c. Intellectual Property

This Agreement does not transfer from Goodworld to you any Goodworld or third-party intellectual property, and all rights, title, and interest in and to such property will remain (as between the parties) solely with Goodworld. Goodworld, Goodworld.me, the Goodworld.me logo, and all other trademarks, service marks, graphics, and logos used in connection with the Website are trademarks or registered trademarks of Goodworld. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third-parties. Your use of the Website grants you no right or license to reproduce or otherwise use any Goodworld or third-party trademarks.

Any feedback, comments, or suggestions you may provide regarding Goodworld or the Website is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.

Goodworld and any registered Organization each agree to and hereby grant eachother a no-fee license for the unrestricted use of the other’s logos, trademarks, social media posts, tradenames and any other identifying names or symbols, for use on their respective websites for the purpose of identifying the relationship between Goodworld and such Organization and for reciprocal and mutual promotion.

d. Changes

Goodworld reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Continued use of or access to the Website following any changes to this Agreement constitutes your acceptance of those changes. Goodworld will give ten days notice by posting amendments ten days before the effective date to these Terms of Use. Previous versions of these Terms of Use are available if you request them at support@Goodworld.me.

Goodworld may, in the future, offer new services and/or features through the Website (including, the release of new tools and resources), and such features and/or services shall be subject to the terms and conditions of these Terms of Use.

e. Termination

This Agreement will continue to be in force until terminated by either you or Goodworld as follows:

  1. Goodworld may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately.

  2. If you wish to terminate this Agreement or your Goodworld.me account, you may simply discontinue using the Website. You may also terminate your Goodworld.me account by emailing Goodworld from the email address that you used to set up the account requesting that your account be terminated.

All provisions of this Agreement, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Nothing in this Agreement shall affect Goodworld’s rights to change, limit, or stop the provision of content, services, and products without prior notice, as provided above.

f. Disclaimer of Warranties

The Website and all information, content, services, and products described and/or available on or through the Website are provided to you “as is.” Goodworld and its suppliers and licensors hereby disclaim, to the extent allowed by law, all warranties of any kind, expressed or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither Goodworld nor its suppliers and licensors, makes any warranty that the Website will be error-free or that access thereto will be continuous or uninterrupted.

g. Limitation of Liability

In no event will Goodworld, or its suppliers or licensors, be liable with respect to any subject matter of this Agreement under any contract, negligence, strict liability, or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; (iv) for any amounts that exceed the Goodworld Fees paid in association with the subject transaction to Goodworld under this Agreement during the twelve (12) month period prior to the cause of action; or (v) for loss of benefit of tax deduction or other such benefit from failure of a donation to be completed according to Donor’s request.

Goodworld shall have no liability for any failure or delay due to matters beyond its control. In all cases, Goodworld will not be liable for any loss or damage that is not reasonably foreseeable. The foregoing shall not apply to the extent prohibited by applicable law.

Notwithstanding any other provision of these Terms of Use, or any amendment thereto, in no event shall Goodworld be liable to any Donor for more than the amount of the GW Fee (see Section III(c)) charged in connection with the complained-of donation, or be liable to an Organization in any amount.

h. General Representation and Warranty

Through use of the Website, you represent and warrant that: (i) your use of the Website will be in strict accordance with the Goodworld Privacy Policy at Goodworld.me/privacy, with this Agreement, and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside), and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third-party.

i. Indemnification

You agree to indemnify and hold harmless Goodworld, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys’ fees and costs, arising out of your use of the Website, including but not limited to, your violation of this Agreement.

j. Miscellaneous

This Agreement constitutes the entire agreement between Goodworld and you concerning the subject matter hereof, and it may only be modified by a written amendment signed by an authorized executive of Goodworld, or by the posting by Goodworld of revisions to or up-dated versions of this Agreement.

Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought by Goodworld in any competent court without the posting of a bond), any dispute arising under this Agreement shall be finally settled in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. (“JAMS”) by three arbitrators appointed in accordance with such Rules. The arbitration shall take place in Washington, D.C., in the English language, and the arbitral decision may be enforced in any court. The prevailing party in any action or proceeding to enforce this Agreement shall be entitled to attorneys’ costs and fees. Neither party may file an action in arbitration or otherwise until the complaining party has given a written statement of its claim or complaint to the other party, and the parties have attempted to resolve the matter by good faith discussions within twenty days after the receipt of such notice.

If any part of this Agreement is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining portions will remain in full force and effect.

A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.

This Agreement will be binding upon and will inure to the benefit of the parties, their successors and assignees.
